PatrolForge Terms of Service

Welcome to PatrolForge.
These Terms of Service ("Terms") constitute a legally binding agreement between you and PatrolForge governing your access to and use of the PatrolForge website, mobile application, web application, software platform, APIs (if offered), and all related services (collectively, the "Services").
By creating an account, purchasing a subscription, accessing the Services, or otherwise using PatrolForge, you acknowledge that you have read, understood, and agree to be bound by these Terms and all policies incorporated by reference, including the PatrolForge Privacy Policy.
If you do not agree to these Terms, you may not access or use PatrolForge.
1. Definitions
For purposes of these Terms:
"PatrolForge," "we," "our," or "us" means the owner and operator of the PatrolForge platform.
"Platform" means the PatrolForge website, web application, mobile application, software, servers, databases, APIs, documentation, and related services.
"Customer" means any company, organization, agency, business, or other legal entity that purchases or subscribes to PatrolForge.
"Company Administrator" means an individual designated by a Customer to administer that Customer's PatrolForge account.
"Authorized User" means any employee, contractor, officer, supervisor, client, or other individual authorized by the Customer to access the Platform.
"Officer" means a security officer, patrol officer, employee, contractor, or field personnel using PatrolForge.
"Client" means an individual or organization granted access to reports or information through a Customer's Client Portal.
"Customer Data" means all information uploaded, entered, submitted, stored, or generated by a Customer or its Authorized Users.
"Subscription" means a paid or trial license granting access to PatrolForge under the applicable subscription plan.
2. Eligibility
You may use PatrolForge only if:
* You are at least eighteen (18) years of age or the age of majority in your jurisdiction.
* You have the legal authority to enter into these Terms.
* You are authorized to act on behalf of your company if creating a company account.
* Your use complies with all applicable laws.
If you access PatrolForge on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.
3. Company Accounts
Each PatrolForge account is associated with a specific company or organization.
The Company Administrator is responsible for:
* Creating user accounts.
* Managing permissions.
* Managing rank structures.
* Assigning supervisors.
* Configuring company settings.
* Managing Client Portal access.
* Maintaining accurate account information.
* Removing users who should no longer have access.
* Ensuring employees understand company policies regarding PatrolForge.
The Company Administrator accepts responsibility for all activity occurring under the company's account unless caused by PatrolForge's own negligence or willful misconduct.
4. User Accounts
Each Authorized User receives an individual account unless otherwise authorized by PatrolForge.
Users agree to:
* Provide accurate information.
* Maintain current contact information.
* Keep passwords confidential.
* Use only accounts assigned to them.
* Immediately notify their Company Administrator of unauthorized access.
* Log out from shared devices.
* Use PatrolForge only for legitimate business purposes.
PatrolForge reserves the right to suspend accounts used fraudulently or in violation of these Terms.
5. Account Security
Users are responsible for maintaining the confidentiality of their usernames, passwords, authentication codes, and other security credentials.
Users shall not:
* Share passwords.
* Share authentication tokens.
* Circumvent security controls.
* Attempt unauthorized access.
* Allow unauthorized persons to use their account.
PatrolForge may require password changes, multi-factor authentication, or other security measures to protect customer accounts.
6. Authorized Users
The Customer controls which users may access PatrolForge.
Authorized Users may include:
* Owners
* Chiefs
* Majors
* Captains
* Lieutenants
* Sergeants
* Corporals
* Officers
* Dispatchers
* Administrative Staff
* Human Resources
* Clients
* Contractors
Access to features is determined by permissions assigned by the Company Administrator.
PatrolForge is not responsible for permission settings chosen by Customers.
7. Account Ownership
Company accounts belong to the subscribing Customer.
Individual employees do not own company accounts, company reports, company patrol history, company client information, or other Customer Data created within the scope of their employment unless otherwise agreed by the Customer.
PatrolForge is not responsible for disputes regarding ownership of Customer Data between employers and employees.
8. Customer Responsibilities
Customers agree to:
* Maintain all required business licenses.
* Maintain required security licenses.
* Comply with employment laws.
* Comply with privacy laws.
* Comply with firearm regulations.
* Comply with reporting requirements.
* Maintain appropriate insurance.
* Train employees regarding PatrolForge.
* Maintain secure passwords.
* Manage user permissions appropriately.
* Promptly disable former employee accounts.
* Ensure uploaded information is accurate.
PatrolForge does not assume responsibility for the Customer's compliance with applicable laws.
9. Professional Judgment Disclaimer
PatrolForge is a software platform designed to assist organizations in managing security operations.
PatrolForge does not replace:
* Professional judgment.
* Security officer training.
* Company policies.
* Site-specific post orders.
* Emergency procedures.
* Applicable laws.
* Required certifications.
* Required licensing.
* Human supervision.
* Law enforcement.
* Emergency medical services.
* Fire protection services.
Users remain solely responsible for exercising independent judgment based upon the facts and circumstances of each situation.
Nothing displayed within PatrolForge should be interpreted as directing or requiring a user to take any specific law enforcement, security, medical, or emergency action.
Customers remain solely responsible for training employees regarding proper response procedures.
10. No Life Safety Guarantee
PatrolForge is an operational management platform.
PatrolForge is **not**:
* A life safety system.
* A monitored alarm service.
* A 911 service.
* An emergency dispatch service.
* A fire alarm system.
* A burglar alarm system.
* A panic alarm monitoring service.
* A substitute for contacting emergency responders.
Users should immediately contact appropriate emergency services whenever circumstances require emergency assistance.
PatrolForge does not guarantee that alerts, notifications, GPS updates, or communications will be delivered in time to prevent injury, death, property damage, or other losses.
11. Subscription Plans
PatrolForge is offered as a subscription-based Software-as-a-Service ("SaaS") platform.
Access to PatrolForge is provided through subscription plans selected by the Customer. Features, usage limits, pricing, and available functionality may vary depending on the subscription plan purchased.
Subscription plans may include limitations such as:
* Number of company administrators
* Number of supervisors
* Number of officers or users
* Number of client accounts
* Number of properties
* Number of patrol checkpoints
* Number of vehicles
* Storage capacity
* Report retention periods
* Available integrations
* Mobile application access
* Advanced reporting features
* API access, if offered
* White-label or branding features
* Other features identified on PatrolForge's pricing page
PatrolForge reserves the right to modify available subscription plans, features, and pricing prospectively. Changes will not affect an active billing period already paid for unless required by law or expressly agreed by the Customer.
12. Free Trials
PatrolForge may offer free trials, demonstration accounts, promotional access, or beta access at its sole discretion.
Unless otherwise stated:
* Free trials automatically expire at the end of the stated trial period.
* PatrolForge may limit features during trial access.
* Trial data may be deleted after expiration.
* PatrolForge is not obligated to preserve trial accounts or data.
* A valid payment method may be required to continue service after a trial ends.
PatrolForge reserves the right to terminate or modify any trial offer at any time.
13. Subscription Billing
Subscription fees are billed in advance according to the billing cycle selected by the Customer.
Available billing cycles may include:
* Monthly
* Quarterly
* Semi-Annual
* Annual
* Multi-year plans, if offered
Subscription fees are due on the billing date shown within the Customer's account.
Failure to pay subscription fees may result in suspension or termination of service.
14. Payment Processing
PatrolForge uses **Stripe, Inc.** to securely process subscription payments.
By purchasing a subscription, the Customer authorizes Stripe to charge the selected payment method for all applicable subscription fees, taxes, and other authorized charges.
PatrolForge does not store complete credit card numbers, debit card numbers, CVV/CVC security codes, or bank account credentials.
Payment processing is governed by Stripe's Terms of Service and Privacy Policy in addition to these Terms.

15. Automatic Renewals
Unless cancelled before the next renewal date, subscriptions automatically renew for successive billing periods equal to the original subscription term.
By purchasing a subscription, the Customer authorizes PatrolForge and Stripe to automatically charge the payment method on file for each renewal period.
Renewal charges will occur using the payment method associated with the account unless updated by the Customer.
Customers are responsible for maintaining accurate payment information.
16. Taxes
Subscription fees do not include applicable taxes unless expressly stated.
Customers are responsible for paying all applicable:
* Sales taxes
* Use taxes
* Value Added Tax (VAT)
* Goods and Services Tax (GST)
* Excise taxes
* Other governmental fees
PatrolForge may collect taxes where required by applicable law.
Customers claiming a tax exemption must provide valid documentation before billing.
17. Failed Payments
If a payment cannot be processed, PatrolForge may:
* Retry the payment.
* Notify the Customer.
* Temporarily suspend certain platform features.
* Restrict administrative access.
* Restrict Client Portal access.
* Suspend mobile application access.
* Suspend report synchronization.
* Suspend GPS tracking services.
* Disable creation of new reports.
* Disable new user creation.
* Charge applicable late fees where permitted by law.
PatrolForge reserves the right to continue attempting collection of unpaid subscription fees.
18. Suspension for Non-Payment
PatrolForge may suspend some or all Services if payment is not received.
During suspension:
* User access may be disabled.
* Mobile applications may stop synchronizing.
* Client Portal access may be disabled.
* Administrative functions may be unavailable.
* Report generation may be limited.
* GPS tracking features may cease functioning.
* New patrols may be prevented.
Suspension does not relieve the Customer of its obligation to pay outstanding balances.
19. Cancellation
Customers may cancel their subscription at any time through their account settings or by contacting PatrolForge support.
Cancellation stops future renewals but does not automatically generate refunds for subscription periods already paid.
Unless otherwise required by law:
* Service continues until the end of the current billing period.
* Subscription fees already paid are non-refundable.
* Data may remain available until the subscription expires.
20. Refund Policy
Except where required by law or expressly stated in writing by PatrolForge:
* Subscription fees are non-refundable.
* Partial months are not prorated.
* Failure to use the Services does not entitle the Customer to a refund.
* Customer dissatisfaction does not automatically entitle the Customer to a refund.
* Deleting an account does not create a right to a refund.
If PatrolForge approves a refund as a courtesy, such approval shall not create an obligation to provide future refunds under similar circumstances.
Refunds, when approved, will generally be issued to the original payment method through Stripe.
21. Upgrades
Customers may upgrade their subscription plan at any time.
Depending on the plan selected:
* Additional features may become immediately available.
* Additional users may be added.
* Additional properties may be added.
* Increased storage limits may become available.
* Billing may be prorated.
Proration, if offered, will be calculated by PatrolForge's billing system.
22. Downgrades
Customers may downgrade their subscription at the end of the current billing period unless PatrolForge expressly allows immediate downgrades.
Downgrading may result in:
* Reduced storage.
* Reduced user limits.
* Reduced property limits.
* Reduced report retention.
* Loss of premium features.
* Loss of advanced reporting.
* Loss of certain administrative capabilities.
Customers are responsible for ensuring they comply with the limits of the downgraded plan before the downgrade becomes effective.
23. Plan Limits
Each subscription plan includes specific usage limits.
If a Customer exceeds plan limits, PatrolForge may:
* Prevent creation of additional users.
* Prevent creation of additional properties.
* Prevent creation of additional checkpoints.
* Prevent creation of additional client accounts.
* Restrict uploads.
* Restrict storage usage.
* Require the purchase of a higher subscription tier.
PatrolForge is under no obligation to permit continued use beyond purchased plan limits.
24. Price Changes
PatrolForge reserves the right to change subscription pricing.
Price changes will apply prospectively and will not affect the current prepaid billing period.
Customers will receive reasonable advance notice before any recurring subscription price increases become effective.
Continued use of PatrolForge after a price change becomes effective constitutes acceptance of the revised pricing.
25. Promotional Pricing
From time to time PatrolForge may offer promotional pricing, introductory discounts, coupon codes, or special offers.
Unless otherwise stated:
* Promotions cannot be combined.
* Promotions have no cash value.
* Promotions may expire without notice.
* PatrolForge may revoke promotions obtained through fraud or abuse.
26. Collection Costs
If PatrolForge must pursue collection of unpaid subscription fees, the Customer agrees to pay all reasonable costs of collection to the extent permitted by applicable law, including:
* Collection agency fees
* Court costs
* Filing fees
* Reasonable attorney's fees
* Interest where permitted by law
27. No Guaranteed Uptime
While PatrolForge strives to provide a reliable and highly available service, PatrolForge does **not** guarantee uninterrupted or error-free operation.
The Services may be unavailable from time to time due to:
* Scheduled maintenance
* Emergency maintenance
* Internet outages
* Power failures
* Cloud provider interruptions
* Telecommunications failures
* Software defects
* Hardware failures
* Cybersecurity incidents
* Third-party service outages
* Events beyond PatrolForge's reasonable control
Unless PatrolForge separately enters into a written Service Level Agreement ("SLA"), no minimum uptime percentage is guaranteed.
Temporary interruptions do not constitute a breach of these Terms and do not automatically entitle the Customer to refunds, credits, or damages.
28. Acceptable Use
PatrolForge is intended solely for lawful business purposes related to security operations, patrol management, reporting, scheduling, inspections, client communication, and other authorized operational activities.
Customers and Authorized Users agree to use PatrolForge responsibly, professionally, ethically, and in compliance with all applicable laws.
Use of PatrolForge must always be consistent with:
* Federal law
* State law
* Local law
* Company policies
* Licensing requirements
* Employment agreements
* Client contracts
* Applicable court orders
29. Prohibited Uses
Users shall not use PatrolForge to:
* Violate any law or regulation.
* Violate another person's rights.
* Harass, threaten, intimidate, stalk, or abuse another person.
* Upload malicious software.
* Upload ransomware.
* Upload spyware.
* Upload viruses.
* Attempt unauthorized access to any account.
* Interfere with another customer's use of PatrolForge.
* Reverse engineer PatrolForge except where expressly permitted by applicable law.
* Attempt to discover source code.
* Circumvent licensing restrictions.
* Bypass subscription limits.
* Share accounts without authorization.
* Sell access to PatrolForge without written permission.
* Copy or reproduce PatrolForge software.
* Scrape PatrolForge data.
* Mine PatrolForge data.
* Create competing services using PatrolForge content.
* Interfere with platform security.
* Attempt denial-of-service attacks.
* Test PatrolForge vulnerabilities without written authorization.
* Use automated bots without permission.
* Upload unlawful content.
* Upload obscene content unrelated to legitimate business operations.
* Upload copyrighted material without authorization.
* Impersonate another person.
* Misrepresent company authority.
* Falsify reports.
* Alter audit records.
* Falsify GPS information.
* Submit fraudulent patrols.
* Misuse Client Portal access.
* Access another company's information.
30. Professional Conduct
PatrolForge is intended for professional use.
Authorized Users agree to conduct themselves in a professional manner while using the Services.
Customers remain solely responsible for:
* Employee conduct.
* Supervisor conduct.
* Client communications.
* Company policies.
* Workplace investigations.
* Employee discipline.
* Regulatory compliance.
PatrolForge does not supervise employees and is not responsible for employment decisions made by Customers.
31. GPS Usage
GPS functionality is provided solely to assist with legitimate operational activities.
Customers agree that GPS information shall not be used:
* For unlawful surveillance.
* To violate employee privacy laws.
* To discriminate against employees.
* To harass employees.
* For personal tracking unrelated to business operations.
* For illegal monitoring.
Customers are responsible for complying with all laws regarding employee notification and consent where applicable.
PatrolForge makes no guarantee regarding GPS accuracy.
GPS accuracy may be affected by:
* Buildings
* Weather
* Cellular coverage
* Satellite availability
* Device hardware
* Operating system limitations
* User settings
* Third-party mapping providers
GPS information should be considered an operational aid and not definitive proof of a person's precise location.
32. Reports and Operational Records
PatrolForge allows Customers to create and maintain operational records including:
* Incident reports
* Daily activity reports
* Patrol reports
* Maintenance reports
* Vehicle inspections
* Post checks
* Officer notes
* Supervisor approvals
* Corrective actions
* Photographs
* Attachments
* Other operational records
Customers are solely responsible for the accuracy, completeness, legality, and retention of these records.
PatrolForge does not independently verify report accuracy.
Parking Enforcement Records and Notices
If a Customer uses PatrolForge to document or manage parking enforcement activity, Customer Data may include parking rules, vehicle registration records, resident or unit information, warnings, parking violation notices, tow review records, tow vendor communications, photographs, attachments, payment records, dispute records, collection records, agency placement records, notes, audit history, and related communications.
PatrolForge provides software tools for recordkeeping, workflow management, document generation, communication, reporting, payment-link support, and related administrative functions. PatrolForge does not issue parking warnings or violation notices, determine whether a parking violation occurred, determine whether a parking fee is valid or collectible, authorize towing, approve or deny disputes, perform collection activity, place accounts with agencies, or independently verify the accuracy, sufficiency, legality, or completeness of parking enforcement information entered by a Customer or its Authorized Users.
The Customer is solely responsible for all parking enforcement records, notices, fees, rule selections, vehicle entries, property entries, photographs, statements, statuses, communications, dispute decisions, tow instructions, payment records, collection activity, and agency placement activity created, uploaded, generated, sent, exported, or relied upon through the Services by the Customer or its Authorized Users.
The Customer represents and warrants that it has all required property owner authorization, client authorization, association authorization, landlord authorization, contractual authority, statutory authority, regulatory authority, and other permissions necessary to use PatrolForge for parking enforcement, violation notices, towing workflows, payment activity, dispute workflows, collection follow-up, agency placement, reporting, and related activities at each property or account where the Customer uses those features.
The Customer further represents and warrants that all parking enforcement information entered into or sent through PatrolForge will be truthful, accurate, complete to the best of the Customer's knowledge, properly authorized, not misleading, and used only for lawful business purposes. The Customer is responsible for reviewing parking enforcement information before issuing, sending, relying on, collecting on, exporting, or otherwise using any notice, fee, report, or record. The Customer must promptly correct, update, dismiss, void, or otherwise address information it knows or reasonably should know is inaccurate, incomplete, unauthorized, outdated, entered in error, or otherwise improper.
PatrolForge does not provide legal advice and does not act as a property manager, homeowners association, landlord, towing company, collection agency, court, arbitrator, law enforcement agency, or parking enforcement authority. The Customer is responsible for obtaining its own legal, compliance, insurance, and operational guidance and for complying with all applicable laws, agreements, governing documents, posted rules, privacy requirements, towing requirements, payment processing rules, debt collection requirements, consumer protection requirements, and other obligations relating to parking enforcement activity.
33. No Guarantee of Court Admissibility
Reports, photographs, GPS records, audit logs, and other records generated through PatrolForge are intended to assist Customers in documenting operational activities.
PatrolForge does not represent or warrant that any report, photograph, GPS record, audit log, or other information generated through the Platform will:
* Be admissible in court.
* Be accepted by law enforcement.
* Be accepted by insurance companies.
* Be accepted by regulatory agencies.
* Meet evidentiary standards.
* Satisfy statutory reporting requirements.
Customers remain responsible for ensuring that reports comply with applicable laws, regulations, contracts, and evidentiary requirements.
34. File Uploads
Users may upload photographs, documents, PDFs, videos (if supported), and other files.
Users represent and warrant that they possess all necessary rights to upload such materials.
Users shall not upload:
* Malware
* Illegal content
* Copyright-infringing material
* Defamatory material
* Pornographic material unrelated to legitimate business operations
* Material promoting criminal activity
* Material violating another person's privacy rights
PatrolForge may remove uploaded content that violates these Terms.
35. Client Portal
Customers control Client Portal access.
Customers are solely responsible for:
* Determining which reports are visible.
* Assigning client permissions.
* Removing former client users.
* Verifying client identities.
* Deciding what operational information should be shared.
PatrolForge is not responsible for information intentionally shared by Customers with their clients.
36. Communications
Customers and Authorized Users agree not to use PatrolForge messaging, notifications, comments, or other communication features to:
* Harass others.
* Threaten violence.
* Promote illegal activities.
* Send spam.
* Send phishing messages.
* Distribute malware.
* Violate applicable laws.
PatrolForge reserves the right to remove communications that violate these Terms.
37. OpenStreetMap and Mapping Services
PatrolForge uses mapping data provided by OpenStreetMap® and may use compatible third-party tile providers to display maps, patrol routes, checkpoints, and property locations.
Map data is provided under the Open Database License (ODbL) and may be subject to additional terms imposed by mapping providers.
Customers acknowledge that:
* Mapping information may contain inaccuracies.
* Route information is approximate.
* Property boundaries displayed on maps may not reflect legal boundaries.
* Map availability depends on third-party services.
* Mapping providers may experience outages.
PatrolForge does not guarantee the accuracy, completeness, or availability of mapping information.
Customers remain responsible for independently verifying property locations and patrol assignments.
38. OpenStreetMap Attribution
OpenStreetMap® data is © OpenStreetMap contributors and is made available under the Open Database License (ODbL).
PatrolForge will provide attribution where required by the applicable OpenStreetMap license and related terms.
39. Third-Party Services
PatrolForge integrates with third-party services including, but not limited to:
* Stripe
* OpenStreetMap
* Email providers
* SMS providers
* Cloud hosting providers
* Authentication providers
* Backup providers
PatrolForge is not responsible for interruptions, errors, or security incidents caused by third-party providers.
Use of third-party services may also be subject to the terms and privacy policies of those providers.
40. Future Features
PatrolForge may introduce additional features, including but not limited to:
* Artificial intelligence tools
* Automated report summaries
* Voice transcription
* API integrations
* Third-party plugins
* New mobile capabilities
* Additional mapping features
* New notification systems
Unless expressly stated otherwise, new features are governed by these Terms.
If PatrolForge introduces features that materially affect user rights or obligations, PatrolForge may update these Terms and provide notice as required by applicable law.
41. Beta Features
From time to time, PatrolForge may make beta, preview, early access, or experimental features available.
Beta features are provided "as is" and may:
* Be incomplete.
* Change without notice.
* Contain defects.
* Be modified or discontinued at any time.
* Produce inaccurate results.
Customers use beta features at their own risk.
PatrolForge makes no warranty regarding the performance or availability of beta features.
42. Ownership of the Platform
PatrolForge and all associated software, source code, object code, databases, user interfaces, mobile applications, website content, documentation, designs, graphics, workflows, layouts, text, logos, trademarks, service marks, trade dress, software architecture, algorithms, scripts, templates, and all related intellectual property are and shall remain the exclusive property of PatrolForge and its licensors.
These Terms do not transfer any ownership rights in the Platform to any Customer or Authorized User.
Customers receive only the limited license expressly granted under these Terms.
43. Customer Data Ownership
As between PatrolForge and the Customer, the Customer retains ownership of the Customer Data it submits to the Platform.
Customer Data includes, but is not limited to:
* Company information
* Officer information
* Client information
* Incident reports
* Daily activity reports
* Patrol reports
* Maintenance reports
* Vehicle inspections
* Post checks
* Schedules
* Uploaded photographs
* Uploaded documents
* GPS records
* Audit history
* Custom fields
* Notes
* Attachments
PatrolForge does not claim ownership of Customer Data.
44. License Granted to PatrolForge
To operate the Services, the Customer grants PatrolForge a limited, non-exclusive, worldwide, royalty-free license to:
* Store Customer Data.
* Process Customer Data.
* Display Customer Data to authorized users.
* Back up Customer Data.
* Transmit Customer Data as directed by the Customer.
* Synchronize Customer Data across authorized devices.
* Generate reports requested by the Customer.
* Perform maintenance.
* Troubleshoot technical issues.
* Improve platform reliability.
* Protect platform security.
* Comply with applicable law.
This license exists solely for the purpose of providing the Services and ends when Customer Data is permanently deleted, subject to backup retention, legal obligations, and disaster recovery requirements.
45. Software License
Subject to these Terms and payment of all applicable subscription fees, PatrolForge grants the Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform during the active subscription period.
This license permits use only for the Customer's internal business operations.
No ownership rights are transferred.
46. License Restrictions
Except where expressly permitted by applicable law or with PatrolForge's prior written consent, Customers and Authorized Users shall not:
* Copy the software.
* Modify the software.
* Reverse engineer the software.
* Decompile the software.
* Disassemble the software.
* Create derivative works.
* Lease the software.
* Rent the software.
* Resell access.
* Provide software hosting services using PatrolForge.
* Remove copyright notices.
* Remove trademark notices.
* Circumvent licensing controls.
* Bypass subscription limits.
* Use automated scraping tools.
* Attempt to obtain source code.
* Mirror the Platform.
* Create competing products using PatrolForge technology.
47. PatrolForge Name, Logo, and Branding
The PatrolForge name, PatrolForge logo, website design, user interface, branding, graphics, icons, product names, service names, slogans, trade dress, and other distinctive brand elements are the exclusive property of PatrolForge unless otherwise expressly stated.
The PatrolForge logo and other branding materials are protected by applicable copyright laws, common law intellectual property rights, and other applicable laws. Nothing in these Terms grants any Customer, Authorized User, or third party any ownership interest or license to use PatrolForge's branding except as expressly permitted herein.
Customers may identify PatrolForge by name solely for the purpose of truthfully stating that they use the PatrolForge platform, provided such use does not imply sponsorship, endorsement, partnership, affiliation, certification, or approval by PatrolForge.
Except with the prior written permission of PatrolForge, no person or entity may:
* Use the PatrolForge logo.
* Copy the PatrolForge logo.
* Display the PatrolForge logo.
* Modify the PatrolForge logo.
* Reproduce the PatrolForge logo.
* Redistribute the PatrolForge logo.
* Incorporate the PatrolForge logo into another logo or design.
* Use the PatrolForge logo in advertising or marketing materials.
* Use the PatrolForge logo on websites, social media, printed materials, clothing, merchandise, promotional items, or products.
* Remove or alter copyright notices or proprietary notices associated with the PatrolForge logo or branding.
* Use PatrolForge branding in any manner that may confuse the public regarding the source, ownership, affiliation, sponsorship, or endorsement of any product or service.
Any authorized use of the PatrolForge name or logo must comply with any branding or usage guidelines that PatrolForge may publish from time to time.
Unauthorized use of the PatrolForge name, logo, or other branding materials may result in termination of access to the Services and may subject the responsible party to legal action to the fullest extent permitted by applicable law.
Nothing in these Terms shall be interpreted as granting any license, permission, or other right to use the PatrolForge logo or other branding materials except where PatrolForge has provided prior written authorization.
48. Copyright
All content provided by PatrolForge, including software, documentation, graphics, website content, manuals, forms, templates, workflows, and related materials, is protected by United States and international copyright laws.
Unauthorized reproduction, distribution, modification, or commercial exploitation is prohibited.
49. Feedback
Customers and Authorized Users may voluntarily submit:
* Suggestions
* Feature requests
* Bug reports
* Enhancement ideas
* Workflow recommendations
* User interface improvements
* Documentation corrections
Unless otherwise agreed in writing, any feedback submitted to PatrolForge may be used without restriction and without any obligation to compensate the submitting party.
PatrolForge may incorporate submitted ideas into current or future versions of the Platform.
50. Customer Responsibilities for Data
Customers are solely responsible for:
* The accuracy of Customer Data.
* The legality of Customer Data.
* The completeness of Customer Data.
* Obtaining all necessary permissions to upload Customer Data.
* Complying with applicable privacy laws.
* Complying with employment laws.
* Complying with contractual obligations owed to clients.
PatrolForge does not review all Customer Data and is not responsible for errors, omissions, or unlawful content submitted by Customers.
51. Data Export
Where supported by the Platform, Customers may export their Customer Data during an active subscription.
Export functionality may vary depending on the Customer's subscription plan and available features.
Customers are responsible for maintaining their own copies of exported records.
Following termination or expiration of an account, PatrolForge is not obligated to retain Customer Data indefinitely.
Data may be permanently deleted in accordance with PatrolForge's data retention policies and applicable law.
52. Backups
PatrolForge performs backups for disaster recovery and business continuity purposes.
Backups are intended to reduce the risk of accidental data loss but are not guaranteed to prevent every loss of information.
Customers remain responsible for maintaining any records they consider critical to their operations or legal obligations.
53. Security
PatrolForge implements commercially reasonable administrative, technical, and physical safeguards designed to protect Customer Data.
Security measures may include:
* TLS encrypted communications.
* Password hashing.
* Role-based access controls.
* Multi-factor authentication where available.
* Session management.
* Audit logging.
* Server hardening.
* Firewall protections.
* Routine software updates.
* Security monitoring.
* Backup protections.
No security system can guarantee absolute protection.
Customers acknowledge that internet-based services inherently involve certain security risks.
54. Maintenance and Updates
PatrolForge may perform scheduled or emergency maintenance at any time.
Maintenance may include:
* Software updates.
* Security patches.
* Infrastructure upgrades.
* Database optimization.
* Feature enhancements.
* Bug fixes.
* Performance improvements.
Maintenance may temporarily affect the availability of the Services.
Where reasonably practicable, PatrolForge will attempt to provide advance notice of scheduled maintenance.
55. Future APIs and Integrations
PatrolForge may provide APIs, webhooks, plugins, or third-party integrations in the future.
Use of such features may be governed by additional documentation, developer terms, licensing requirements, or technical limitations.
PatrolForge reserves the right to modify, suspend, rate-limit, or discontinue APIs and integrations at any time.
56. OpenStreetMap Attribution
Certain mapping functionality within PatrolForge uses geographic data made available by OpenStreetMap contributors under the Open Database License (ODbL).
Customers agree not to remove, obscure, or interfere with any required attribution displayed within the Platform.
Where required by applicable licensing terms, PatrolForge will display appropriate attribution for OpenStreetMap data and any applicable map tile provider.
57. Artificial Intelligence and Automated Features
If PatrolForge offers artificial intelligence, machine learning, automated report generation, summarization, transcription, or similar features in the future:
* AI-generated content is provided solely as an operational aid.
* AI-generated content may contain errors or omissions.
* Customers remain responsible for reviewing all AI-generated content before relying upon it.
* PatrolForge does not guarantee the accuracy, completeness, or suitability of AI-generated output.
* AI-generated recommendations do not replace professional judgment, company policy, legal advice, or applicable laws.
Customers assume full responsibility for any decisions made based upon AI-generated content.
58. Reservation of Rights
PatrolForge reserves all rights not expressly granted under these Terms.
No implied licenses are created by these Terms.
Any rights not specifically granted to the Customer remain the exclusive property of PatrolForge.
59. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PATROLFORGE IS PROVIDED ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS.
PATROLFORGE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:
* Implied warranties of merchantability.
* Fitness for a particular purpose.
* Non-infringement.
* Title.
* Quiet enjoyment.
* Accuracy.
* Reliability.
* Availability.
PatrolForge does not warrant that:
* The Services will operate without interruption.
* The Services will be error free.
* Every software defect will be corrected.
* Reports will always synchronize successfully.
* GPS information will always be accurate.
* Cellular or internet service will always be available.
* Third-party services will remain available.
* OpenStreetMap data will always be accurate.
* QR code scans will always succeed.
* NFC scans will always succeed.
* Uploaded files will never become corrupted.
* Customer Data will never be lost.
* Every notification will be delivered.
* Every email will be received.
* Every text message will be delivered.
* Every mobile device will function properly with PatrolForge.
* PatrolForge will meet every Customer's operational requirements.
Customers acknowledge that software, internet communications, GPS systems, mapping services, and mobile devices are inherently subject to interruptions, inaccuracies, delays, and failures.
60. Professional Services Disclaimer
PatrolForge is a software platform only.
PatrolForge does not provide:
* Security services.
* Security officers.
* Law enforcement services.
* Legal advice.
* Medical advice.
* Emergency dispatch.
* Fire protection.
* Alarm monitoring.
* Regulatory compliance services.
* Human resources advice.
* Employment advice.
Customers remain solely responsible for all operational, legal, employment, and regulatory decisions.
61. No Guarantee of Operational Outcomes
Use of PatrolForge does not guarantee:
* Officer safety.
* Client satisfaction.
* Successful patrol completion.
* Crime prevention.
* Incident prevention.
* Emergency response.
* Property protection.
* Legal compliance.
* Employee performance.
* Customer profitability.
PatrolForge assists Customers with documenting and managing operations but does not guarantee operational success.
62. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PATROLFORGE, ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AFFILIATES, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES.
THIS INCLUDES, WITHOUT LIMITATION:
* Lost profits.
* Lost revenue.
* Lost business opportunities.
* Loss of goodwill.
* Loss of contracts.
* Loss of data.
* Loss of reports.
* Loss of GPS records.
* Business interruption.
* System downtime.
* Loss of customers.
* Regulatory penalties.
* Employment disputes.
* Client disputes.
* Property damage.
* Personal injury.
* Wrongful death claims.
* Attorney's fees incurred by third parties.
* Costs of substitute software.
WHETHER BASED UPON:
* Contract.
* Tort.
* Negligence.
* Strict liability.
* Statute.
* Equity.
* Any other legal theory.
EVEN IF PATROLFORGE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
63. Maximum Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PATROLFORGE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES PAID BY THE CUSTOMER TO PATROLFORGE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
IF THE CUSTOMER HAS NOT PAID ANY SUBSCRIPTION FEES, PATROLFORGE'S MAXIMUM LIABILITY SHALL NOT EXCEED ONE HUNDRED UNITED STATES DOLLARS (US $100.00).
Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, liability shall be limited to the greatest extent permitted by applicable law.
64. Customer Indemnification
The Customer agrees to defend, indemnify, and hold harmless PatrolForge, its owners, officers, employees, contractors, affiliates, successors, assigns, licensors, and agents from and against any claims, demands, damages, losses, liabilities, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorney's fees, arising from or related to:
* Customer Data.
* Customer negligence.
* Employee actions.
* Officer misconduct.
* Client disputes.
* Employment disputes.
* Violation of these Terms.
* Violation of applicable law.
* Infringement of intellectual property rights.
* Misuse of PatrolForge.
* Unauthorized account access resulting from Customer negligence.
* Improper disclosure of confidential information.
* Failure to obtain required permissions or consents.
PatrolForge reserves the right to assume the exclusive defense of any matter subject to indemnification.
65. Termination by the Customer
Customers may terminate their subscription at any time in accordance with the cancellation provisions contained in these Terms.
Termination does not relieve the Customer of responsibility for unpaid fees incurred before termination.
66. Termination by PatrolForge
PatrolForge may suspend or terminate any account immediately, with or without prior notice, if PatrolForge reasonably believes that:
* These Terms have been violated.
* Applicable law has been violated.
* Fraud has occurred.
* Payment obligations have not been met.
* Unauthorized access has occurred.
* Platform security is threatened.
* Customer Data contains unlawful material.
* Continued access presents an unreasonable risk to PatrolForge or other users.
PatrolForge may also discontinue the Services or any feature at its discretion, subject to applicable law and any prepaid subscription obligations.
67. Effect of Termination
Upon termination:
* Access to the Services may immediately cease.
* Customer accounts may be disabled.
* Mobile application access may terminate.
* Client Portal access may terminate.
* APIs may be disabled.
* Certain Customer Data may remain in backups for a limited period.
* Data may be permanently deleted in accordance with PatrolForge's retention policies.
Sections relating to intellectual property, payment obligations, limitations of liability, indemnification, confidentiality, governing law, dispute resolution, and any provisions that by their nature should survive termination shall survive termination.
68. Force Majeure
PatrolForge shall not be liable for any delay or failure to perform resulting from events beyond its reasonable control, including but not limited to:
* Natural disasters.
* Floods.
* Fires.
* Tornadoes.
* Earthquakes.
* Pandemics.
* Epidemics.
* War.
* Terrorism.
* Civil unrest.
* Government actions.
* Labor disputes.
* Internet outages.
* Cloud provider failures.
* Utility failures.
* Cyberattacks.
* Telecommunications failures.
* Supply chain disruptions.
* Acts of God.
Performance shall be excused for the duration of the affected event.
69. Export Compliance
Customers agree to comply with all applicable United States export control laws, sanctions, and trade regulations.
Customers shall not use PatrolForge in violation of any applicable export restrictions.
70. Assignment
Customers may not assign or transfer these Terms or any rights under these Terms without PatrolForge's prior written consent.
PatrolForge may assign these Terms as part of a merger, acquisition, corporate restructuring, or sale of assets.
71. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Any invalid provision shall be modified only to the minimum extent necessary to make it enforceable while preserving its original intent whenever possible.
72. Waiver
Failure by PatrolForge to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
Any waiver must be in writing and signed by an authorized representative of PatrolForge.
73. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, without regard to its conflict of law principles.
74. Venue
Unless otherwise required by applicable law, any legal action arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located within the State of New Mexico.
Each party consents to the personal jurisdiction and venue of those courts.
75. Entire Agreement
These Terms of Service, together with the PatrolForge Privacy Policy and any additional written agreements expressly incorporated by reference, constitute the entire agreement between PatrolForge and the Customer concerning the Services.
They supersede all prior or contemporaneous oral or written communications regarding the subject matter of these Terms.
